1. How to Enter: To enter for a chance to win the weekly #PictureYouAtWynn contest (the “Contest”), participant must (i) be at least twenty-one (21) years of age as of the date of entry; (ii) be a United States resident; (iii) have a public Instagram account; and (iv) during the applicable Contest week post a static post on participant’s Instagram account of a photograph taken by participant at Wynn Las Vegas or Encore at Wynn Las Vegas and includes the hashtag “#PictureYouAtWynn” (a “Submission”). By participating in the Contest participant agrees to be fully unconditionally bound by these terms and conditions, and participant represents and warrants that they meet the eligibility requirements. In addition, participant agrees to accept the decisions of WLV Events, LLC (“Wynn”) as final and binding as it relates to the content and decisions of this Contest.

2. Multiple Submissions: Participants may enter multiple different Submissions per week during the Contest Term (as defined below). Participants may not enter the same Submission more one (1) time per week by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. Any persons found to have entered the same Submission multiple times will be automatically disqualified.

3. Submissions Start Date and Deadline: Submissions will be accepted starting August 16, 2021 at 10:00am Pacific Time and ending November 5, 2021 at 10:00am Pacific Time (the “Contest Term”). All Submissions must be received by 10:00am Pacific Time on each Friday of the Contest Term. Submissions received before the weekly start time or after the weekly end time will be considered invalid. Weekly Submissions during the Contest Term shall be accepted each applicable week as follows:

- Week 1: Submissions will be accepted starting Monday, August 16, 2021 at 10:00am Pacific Time and ending Friday, August 20, 2021 at 10:00am Pacific Time.

- Week 2: Submissions will be accepted starting Monday, August 23, 2021 at 10:00am Pacific Time and ending Friday, August 27, 2021 at 10:00am Pacific Time.

- Week 3: Submissions will be accepted starting Monday, August 30, 2021 at 10:00am Pacific Time and ending Friday, September 3, 2021 at 10:00am Pacific Time.

- Week 4: Submissions will be accepted starting Monday, September 6, 2021 at 10:00am Pacific Time and ending Friday, September 10, 2021 at 10:00am Pacific Time.

- Week 5: Submissions will be accepted starting Monday, September 13, 2021 at 10:00am Pacific Time and ending Friday, September 17, 2021 at 10:00am Pacific Time.

- Week 6: Submissions will be accepted starting Monday, September 20, 2021 at 10:00am Pacific Time and ending Friday, September 24, 2021 at 10:00am Pacific Time.

- Week 7: Submissions will be accepted starting Monday, September 27, 2021 at 10:00am Pacific Time and ending Friday, October 1, 2021 at 10:00am Pacific Time.

- Week 8: Submissions will be accepted starting Monday, October 4, 2021 at 10:00am Pacific Time and ending Friday, October 8, 2021 at 10:00am Pacific Time.

- Week 9: Submissions will be accepted starting Monday, October 11, 2021 at 10:00am Pacific Time and ending Friday, October 15, 2021 at 10:00am Pacific Time.

- Week 10: Submissions will be accepted starting Monday, October 18, 2021 at 10:00am Pacific Time and ending Friday, October 22, 2021 at 10:00am Pacific Time.

- Week 11: Submissions will be accepted starting Monday, October 25, 2021 at 10:00am Pacific Time and ending Friday, October 29, 2021 at 10:00am Pacific Time.

- Week 12: Submissions will be accepted starting Monday, November 1, 2021 at 10:00am Pacific Time and ending Friday, November 5, 2021 at 10:00am Pacific Time.

4. Determination of Winners: Members of Wynn’s Marketing team (the “Judges”) will review all Submissions and select up to one (1) winner each week (each a “Winner”, collectively, the “Winners”) from the applicable weekly Submissions. The Judges will select the Winners based upon which Submission’s content, composition and artistry they determine, in their sole discretion, best exhibits the uniqueness, unparalleled imagination, beauty, craftsmanship, and artistic expression of Wynn Las Vegas and Encore at Wynn Las Vegas. A participant will automatically be disqualified if their Submission depicts or portrays the Wynn Las Vegas or Encore at Wynn Las Vegas in a negative or disparaging light and specifically, the Submissions may not depict or portray, directly or indirectly, any violence, gambling, underage drinking, visibly intoxicated people, nudity, lewd or illegal behavior at the Wynn Las Vegas or Encore at Wynn Las Vegas or otherwise or is otherwise deemed offensive, derogatory, profane, abusive or vulgar.

5. Winner Selection and Notification: Each week of the Contest Term, the applicable Winner will be notified by Direct Message on the Instagram account from which the Submission was made on the Monday following the applicable Submission week. Winner has four (4) days to accept the Prize after the attempted notification or their eligibility for the prize will be forfeited. When accepting the prize, Winner must provide their personal email address. Wynn shall have no liability for Winner’s failure to receive notices due to security settings, Instagram account issues, for Winner’s provision of incorrect or otherwise non-functioning contact information, or any other reason for failure to receive notices. If Winner cannot be contacted, is ineligible, fails to claim the prize within four (4) days from the time the notification was sent, or fails to timely return a completed and executed Film, Videotape, and/or Photograph Release and Prize Release as may be required by Wynn, the prize will be forfeited and no alternate Winner will be selected. Receipt by Winner of the prize offered in this Contest is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT WYNN’S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CONTEST, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

6. Prizes: Each Winner will receive $1,000 in Wynn Las Vegas Resort Credit (“Resort Credit”) for use by Winner towards food, beverage and room costs (i.e., room rates and resort fees) at Wynn Las Vegas and Encore at Wynn Las Vegas, excluding all tax and gratuity, La Cave - Wine & Food Hideaway, Cipriani, Urth Caffé, SoulCycle, retail items and casino play. Wynn will issue Winner a prize certificate for the Resort Credit (the “Certificate”) which shall be sent to Winner’s email address provided by Winner at time of Winner’s acceptance of the prize. The Resort Credit must be used within the twelve (12) months following the issuance of the Certificate and any unused portion thereof will not be carried forward and will be deemed forfeited. Winner must contact the individual listed on the issued Certificate at least seven (7) days prior to redeeming any Resort Credit to schedule the requested Resort Credit redemption. Winner will be responsible for any charges or balance due in excess of the Resort Credit amount set forth hereunder. Any such overages will be due and payable at the time of service, or upon check-out, as applicable. All other terms and conditions applicable for hotel accommodations and use of Wynn’s facilities will remain applicable and all applicable fees and taxes will apply, including, without limitation, resort fees, surcharges for excess guests, and cancellation policies. All rooms and accommodations are subject to availability at the time of booking. Any and all prize-related expenses, including without limitation federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of prize constitutes permission for Wynn to use Winner’s name, likeness, and Submission for purposes of advertising and trade without further compensation unless prohibited by law. Prizes are non-transferable and may not be sold, bartered, substituted, or exchanged. Winners and guests will be required to adhere to all applicable Wynn policies when redeeming the prize, including, without limitation, the Wynn Las Vegas Health & Safety Plan. In the event Winner is not legally permitted to engage in gambling; have entered into the Wynn Self-Exclusion Program; or been banned or trespassed by Wynn, then Winner may be prohibited from redeeming their prize in Wynn’s sole discretion. A risk of exposure to COVID-19 exists in any public place or accommodation. COVID-19 is an extremely contagious disease that can cause severe illness and death. By visiting Wynn Las Vegas Resort and redeeming the applicable prize, Winner voluntarily assumes all risks related to exposure to COVID-19.

7. Releases. To the extent permitted by law, by accepting the prize Winner (i) grants to Wynn a perpetual, worldwide, irrevocable, transferable, sublicensable right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, your Submission, name, portrait, picture, voice, likeness, image, statements about the Contest, and biographical information for news, publicity, information, trade, advertising, public relations, promotional purposes, and other business purposes without any further compensation, notice, review, or consent; and (ii) grants Wynn the right to alter or modify the Submission without review, approval or further compensation to Winner. Each Winner must release, indemnify, hold harmless and discharge Wynn and its subsidiaries and affiliates from all liability arising out of participation in the Contest and from receipt and use of the prize. Winner will be required to execute a prize release certifying compliance with these terms and conditions and a Film, Videotape, and/or Photograph Release as a condition of receiving the prize. If Winner fails to return a properly executed prize release or Film, Videotape, and/or Photograph Release within ten (10) days following such request, Wynn reserves the right to void that Winner’s Submission and no alternate Winner will be selected.

8. Submission Terms: By entering a Submission, the participant (“You”) represent and warrant to Wynn Las Vegas, Wynn Resorts, Limited’s and its parent, subsidiary and affiliated companies, licensees, successors, and assigns (collectively referred to herein as “Wynn”) that your Submission is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. You further represent and warrant that you will not submit as a part of your Submission any content in violation of the intellectual property rights of any third party. If your Submission infringes upon the intellectual property right of another, You will be disqualified at the sole discretion of Wynn. If the content of your Submission is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, You shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless Wynn from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which Wynn may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.

9. Limitation of Liability: By entering, You agree to release and hold harmless Wynn and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Contest; (v) electronic or human error in the administration of the Contest or the processing of Submissions; (vi) the content of any Submission. If, for any reason, the Contest is not capable of running online as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Wynn, which threaten or corrupt or adversely affect the administration, security, fairness, integrity or proper conduct of the Contest, Wynn reserves the right, in its sole discretion, to cancel, terminate or suspend the Contest. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, WYNN WILL DISQUALIFY ANY SUCH PARTICIPANT AND RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW

10. Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF THE STATE OF NEVADA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in LAS VEGAS, NEVADA having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Contest). Participant further waives all rights to have damages multiplied or increased.

11. Privacy Policy: Wynn is committed to protecting the privacy of any personal information a Winner may provide when accepting the prize. Please see Wynn’s Privacy Policy for details, subject to Wynn’s additional rights to use personal information as set forth in these Contest terms and conditions.

12. Disclaimer: This Contest is hosted by Wynn and is in no way sponsored, endorsed, administered by, or associated with Facebook, Instagram, Twitter, or other social media platforms. By entering, participants confirm that they are 21+ years of age, release Instagram of responsibility, and agree to Instagram’s terms of use.

13. All decisions made by Wynn Management regarding all aspects of the Contest are final.

14. The captions and headings in these terms and conditions are for convenience only and shall not be used in interpreting it.

15. Employees and/or relatives of Wynn Resorts®, its subsidiaries and advertising agencies or representatives are ineligible to participate in the Contest.

16. Miscellaneous. No responsibility is assumed for late, misdirected or illegible entries. No purchase necessary. Void where prohibited. All costs, taxes, expenses and fees associated with any element of a prize are the sole responsibility of the winner. All federal, state and local taxes on the prize are recipient’s responsibility. Wynn reserves the right to cancel, modify or change the Contest in its sole discretion and without prior notice or liability. Furthermore, Wynn reserves the right to disqualify any person before, during, or after the Contest.
